Terms of service
How Logixcel LLC quotes, bills and delivers software and hardware work.

About these terms
These terms apply when you hire Logixcel LLC, a Texas limited liability company based in Dallas–Fort Worth, for software work (websites and custom business software) or hardware work (custom 3D printing). They go with the written quote for your job; where the quote says something different, the quote wins.
Logixcel isn’t a licensed engineering firm. We don’t provide engineering services, sealed plans, or designs for you to have made elsewhere. If your project needs a licensed professional engineer, getting one is up to you, and we’ll work from their design.
Howdyline, our AI receptionist, runs under its own agreement, not these terms.
Quotes
Every job starts with a written quote, sent by email, that sets out what we’ll make, the price, the deposit, how you’ll get the finished work, and a rough timeline. Prices are in US dollars. A quote is good for 30 days.
The job starts once you accept the quote in writing (a reply by email is enough) and pay the deposit. If you want something the quote doesn’t cover, we’ll quote the change in writing first. Nothing extra is billed without your written okay.
Sales tax is added where Texas law requires it, and shown on the quote.
Payment
We bill through Stripe. You’ll get a Stripe invoice by email or a Stripe payment link, and pay on Stripe’s secure page by card or any other method the page offers. We never ask for card details by phone or email.
Invoices are due within 14 days unless the quote says otherwise. If one is more than 30 days late, we may pause the work until it’s paid.
Deposits
Most jobs need a deposit before we start, which pays for the time and materials that go into the start of the work. The quote gives the amount, usually 50% of the price. The rest is invoiced when the work is ready to deliver; larger software jobs may be billed in stages instead, as the quote sets out.
If you cancel, what happens to your deposit is set out in our refund policy.
Delivery
Software is delivered online: we launch your website or software, or hand over its files, and give you the logins to the accounts it runs on, which are in your name. Hardware is handed over in person in Dallas–Fort Worth or shipped to the address you give us, with shipping on the quote.
Timelines in a quote are our best estimate, not a promise. If a job will run late, we’ll tell you as soon as we know. If hardware arrives damaged, our refund policy says what happens next.
Who owns the work
Once you’ve paid in full, the finished work made for you is yours. We keep our own general tools, code and know-how that aren’t made just for you, and you may keep using the parts of them that are in your work. Open-source software in your work stays under its own license.
When you send us a design, file or content, you confirm you have the right to use it and to have it made. We may turn down a request, for example for something unsafe, illegal or copied from someone else’s design. We show your work in our portfolio only with your permission.
Fixing problems
If something we delivered doesn’t do what the quote describes, tell us within 30 days of delivery and we’ll fix it at no charge. After that, fixes and changes are quoted as new work.
3D prints are made to your design for the use you describe. They aren’t certified for medical, automotive or other safety-critical use unless the quote says so.
Beyond this, the work comes as described in the quote, without any other warranty, as far as the law allows.
Limits of our liability
Our total liability for a job is limited to what you paid us for it. As far as the law allows, we aren’t liable for indirect losses such as lost profits or lost data, so please keep backups before we work on your systems.
Cancelling
You can cancel a job at any time by emailing us, and our refund policy explains what’s refunded when. If we have to cancel a job, we refund whatever you paid for work we haven’t done.
Governing law
These terms are governed by the laws of the State of Texas. If we can’t settle a dispute by talking it through, it goes to the state or federal courts in Denton County, Texas.
Changes to these terms
We may update these terms and change the date at the top. The terms in place when you accepted a quote apply to that job. Questions about them go to contact@logixcel.com.
